Pagrindinės civilinių sutarčių rūšys ir jų pagrindinės sąlygos yra įtvirtinto Lietuvos Respublikos civiliniame kodekse (toliau – CK). Akcininko ir banko santykiai turėtų būti įforminti sudarius laidavimo sutartį. CK 6.77 str. 2d. numatyta, kad laidavimas gali atsirasti neatsižvelgiant į tai, ar asmuo, už kurio prievolę laiduojama, prašo užtikrinti prievolę, taip pat į tai, ar tas asmuo žino apie laiduotoją.

Todėl tarp akcininko ir įmonės santykiai gali būti įforminti sudarius civilinę sutartį, tačiau tai nėra privaloma. Kaip jau minėta, akcininkas gali laiduoti už įmonę net ir be pastarosios žinios.

Tačiau, pastebėtina, kad siekiant apsaugoti akcininko interesus, sudaryti civilinę sutartį tarp jo ir įmonės yra rekomenduotina. CK nenumato jokios specialios sutarties, kuri turėtų būti sudaroma tokiais atvejais.

Sutartis turėtų būti sudaryta vadovaujantis CK normomis, kitaip tariant, sutartyje galima įtvirtinti bet kokias šalių teises ir pareigas, išskyrus tas, kurios pažeidžia imperatyvias CK ar kitų teisės aktų normas.
