Atsakymas. Lietuvos Respublikos akcinių bendrovių įstatymo (toliau – ABĮ) 49 straipsnyje įtvirtinta, kad bendrovės įstatinis kapitalas gali būti didinamas visuotinio akcininkų susirinkimo sprendimu.

Bendrovės įstatinis kapitalas didinamas išleidžiant naujas akcijas arba padidinant išleistų akcijų nominalią vertę. Įstatinis kapitalas gali būti didinamas iš Bendrovės turimų lėšų arba iš kitų asmenų įnašų.

ABĮ 50 straipsnyje numatyta, kad bendrovės įstatinis kapitalas papildomais akcininkų ir kitų asmenų įnašais didinamas tik išleidžiant naujas akcijas. Pastebėtina, kad nemoki akcinė bendrovė gali didinti įstatinį kapitalą papildomais įnašais tik tuo atveju, kai naujas akcijas įsigyja jos akcininkai, darbuotojai ir kreditoriai.

Atsižvelgiant į aukščiau išdėstytą, teigtina, kad bendrovė gali padidinti įstatinį kapitalą 300 000 Lt suma, jeigu naujai išleistos akcijos bus perduotos minėtos individualios įmonės nuosavybėn.
