Remiantis Lietuvos Respublikos civilinio kodekso (toliau – CK) 6.77 str. 4 d. kreditorius turi teisę reikalauti, kad laiduotojas būtų konkretus jo nurodomas asmuo. Jeigu tokio reikalavimo kreditorius nepareiškia, skolininkas laiduotoju turi pasiūlyti pakankamai turto prievolei įvykdyti turintį asmenį.

Vadinasi, reikia spręsti du klausimus: ar kreditorius, šiuo atveju bankas, pateikė reikalavimą, jog konkrečiu laiduotoju būtų akcininkas (-i) ir ar pakanka turto, kurį turi norintis laiduoti asmuo (-ys), laiduoti prievolei.
